Information for Former Falcon Shareholders: Exchange of Falcon Shares for Tamboran Shares

This page provides information for former shareholders of Falcon Oil & Gas Ltd. (“Falcon”) following completion of the plan of arrangement with Tamboran Resources Corporation (“Tamboran”) (NYSE: TBN; ASX: TBN) on May 28, 2026 (the “Transaction”). It will be updated from time to time as the exchange process progresses.
What happened at closing
Under the Transaction, eligible Falcon shareholders became entitled to receive common shares of Tamboran (“Tamboran Shares”) at a ratio of 0.00687 of a Tamboran Share for each Falcon common share (“Falcon Share”) held. No fractional Tamboran Shares will be issued: fractional entitlements are rounded down to the nearest whole Tamboran Share, and no cash is paid in lieu of fractions. The consideration for eligible Falcon shareholders is Tamboran Shares only; no cash consideration is payable to eligible shareholders in exchange for their Falcon Shares. Falcon’s Shares were delisted from the TSX Venture Exchange effective the close of business on May 29, 2026, and the admission of Falcon’s Shares to trading on AIM was cancelled effective June 1, 2026.
If you held your Falcon Shares through a broker or investment dealer
No action is generally required from you. Tamboran Shares are being delivered to brokers and intermediaries through the applicable clearing systems as each firm’s documentation is processed by Computershare Investor Services Inc. (the “Depositary”). Deliveries are occurring on a rolling basis, and it is normal for some accounts to receive Tamboran Shares later than others. Your account may show the former Falcon position at a nil value until the Tamboran Shares post; this is a display convention and does not affect your entitlement. If your Tamboran Shares have not yet appeared in your account, please contact your broker and ask it to confirm the status of its submission to the Depositary.
If you are a registered shareholder (share certificate or DRS statement)
Please complete the Letter of Transmittal that has been provided to you and return it to the Depositary in accordance with directions contained in the Letter of Transmittal. Once documents are received in good order, Tamboran Shares are typically issued within approximately ten business days. Former AIM holders (CREST depositary interests)
Holders who previously held their Falcon Shares through CREST depositary interests should contact their nominee or broker, which can complete the required documentation with the Depositary on their behalf.
No immediate deadline; final date of May 28, 2032
There is no near-term deadline, and a former Falcon shareholder who has not yet received Tamboran Shares has not lost any entitlement. The Tamboran Shares will remain deliverable upon completion of the applicable documentation, provided that such applicable documentation is completed and submitted on or before May 28, 2032 (the sixth anniversary of closing). A position not surrendered with the required documents by May 28, 2032 will cease to represent any claim for Tamboran Shares, and the consideration will be deemed surrendered. Former Falcon shareholders are encouraged to complete the applicable documentation well before the May 28, 2032 deadline.
Shares held by or for ineligible persons
Positions held by or for persons subject to applicable sanctions are administered in accordance with the terms of the plan of arrangement, as amended by the final order of the Supreme Court of British Columbia approving the Transaction, and applicable law.
Status of Falcon.
Following closing of the Transaction, Falcon has no active operations and has applied to cease to be a reporting issuer in Canada.
